Terms & Conditions

Novapure Healthcare Private limited (“Novapure”, “Company”, “we”, “us”, “our”) is engaged in one or more of the following activities:

• Manufacture and supply of pharmaceutical impurities, reference standards, metabolites, and intermediates
• Contract Research Organization (CRO) services including custom synthesis, process development, analytical support, and related R&D services
• Trading, import, export, and distribution of pharmaceutical and research chemicals
• Limited custom manufacturing and scale-up services for regulated and non-regulated markets

These Terms govern all website use, enquiries, quotations, orders, contracts, and services, unless superseded by a written agreement.

By accessing Novapure's website, requesting a quotation, placing an order, or availing services, you confirm that:

• You are 18 years or older
• You are legally authorized to bind your organization
• You accept these Terms without modification

If acting on behalf of a company, these Terms bind both to you and your organization.

• R&D / Non-Clinical Products

  Unless expressly stated otherwise in writing:

  • All impurities, reference standards, metabolites, and intermediates are supplied strictly for Research & Development, analytical, or laboratory use only
  • Products are NOT approved as APIs, excipients, drug substances, or finished dosage forms
  • Products are NOT intended for human or veterinary use

The customer bears sole responsibility for:

• Compliance with Indian laws (Drugs & Cosmetics Act, NDPS, Customs, GST)
• EU regulations (REACH, CLP, GMP, GDP, EMA requirements) where applicable
• US regulations (FDA, DEA, TSCA, EAR, ITAR) where applicable
• Import/export permits, end-use declarations, and controlled substance clearances

• Prices are exclusive of taxes, duties, freight, insurance, and customs charges
• Applicable GST, VAT, customs duty, or withholding taxes shall be borne by the customer
• Payments must be made as per invoice terms
• Novapure may suspend deliveries or services for overdue payments

• Delivery timelines are best-effort estimates
• Risk and title transfer upon handover to carrier (EX-WORKS / FCA) unless agreed otherwise
• Delays due to customs, force majeure, or regulatory clearance do not constitute breach

• Customer must inspect goods immediately upon receipt
• Claims for damage, shortage, or incorrect supply must be reported within 7 calendar days
• No returns without written authorization

• CRO services are performed on a best scientific effort basis
• Results depend on technical feasibility and input data
• Novapure does not guarantee commercial scalability, regulatory approval, or patent clearance unless expressly agreed
• Intellectual property ownership shall be governed by a separate written agreement

• All website content, product data, methods, specifications, and documentation are Novapure's intellectual property
• No IP rights are transferred unless explicitly agreed in writing
• Unauthorized reproduction or use is prohibited

• All non-public technical, commercial, and pricing information is confidential
• Confidentiality obligations survive termination of business relationship

• Products and services are provided “AS IS” and “AS AVAILABLE”
• No implied warranties of merchantability, fitness for purpose, or regulatory approval
• Analytical data and COAs reflect testing at time of release only

To the maximum extent permitted by law:

• Novapure shall not be liable for:
  • Regulatory rejection
  • Lost profits, indirect or consequential damages
  • Misuse or improper handling of products
• Total liability shall not exceed the invoice value of the affected goods or services

Customer agrees to indemnify Novapure against all claims arising from:

• Regulatory non-compliance
• Improper use or resale
• Violation of export control or chemical safety laws
• Third-party claims relating to customer's end products

Customer represents that:

• Products will not be diverted to prohibited countries or entities
• Use complies with Indian export laws, EU sanctions, and US export control regulations
• Novapure may refuse supply if compliance risk exists

Neither party shall be liable for failure due to events beyond reasonable control, including pandemics, government actions, supply disruptions, or natural disasters.

Customer represents that:

• India-based contracts: Governed by the laws of India; jurisdiction at [Thane, Maharashtra]
• EU / US contracts: Governing law and jurisdiction as specified in commercial agreement
• In absence of agreement, Indian law shall prevail

Novapure reserves the right to amend these Terms at any time. Continued use constitutes acceptance.
